These Terms & Conditions govern all business-to-business (“B2B”) transactions between R G Biocosmetic Private Limited (“Company”, “we”, “us”, or “our”) and the purchaser (“Buyer”, “you”, or “your”).

By placing a B2B order with us through our website, sales team, WhatsApp, email, quotation, purchase order, or any other approved channel, you agree to these Terms & Conditions.

Governing Law & Jurisdiction: These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms & Conditions, transactions, or services shall be subject to the exclusive jurisdiction of the competent courts in Delhi, India.

1. B2B Orders

Our B2B services are intended for retailers, distributors, wholesalers, resellers, salons, businesses, professionals, institutions, and other commercial buyers.

The Buyer is responsible for providing accurate business, billing, GST, shipping, and contact information.

2. Product Information

We make reasonable efforts to ensure that product descriptions, specifications, images, pack sizes, and other information displayed on our website are accurate.

Minor variations in product colour, packaging, labelling, or appearance may occur and shall not be considered a defect unless they materially affect the product.

3. Pricing & GST

All prices shall be subject to applicable GST and other statutory charges unless specifically stated otherwise.

The final invoice amount shall be based on the confirmed order, applicable taxes, shipping/freight charges, and agreed commercial terms.

Prices may change from time to time. The price applicable to a confirmed order shall be as communicated in the final quotation, order confirmation, or invoice.

4. Minimum Order Quantity (MOQ)

Certain products may be subject to a Minimum Order Quantity (MOQ), minimum order value, carton quantity, or pack-size requirement.

The applicable MOQ will be displayed on the website, quotation, or communicated by our sales team.

Orders below the applicable MOQ may be declined or may be subject to additional commercial terms.

5. Order Confirmation

An order shall be considered confirmed only after:

Product availability is confirmed by the Company; and
Payment or approved credit terms are completed; and
Required billing and shipping details are provided.

A quotation, enquiry, or order request does not constitute final acceptance until confirmed by the Company.

6. Payment Terms

Unless otherwise agreed in writing, B2B orders must be paid in full before dispatch.

Credit facilities, if offered, shall be subject to separate approval and agreed payment terms.

The Company reserves the right to hold or delay an order where payment is pending or agreed credit limits have been exceeded.

7. Order Processing TAT

Standard B2B orders are generally processed within 2–5 business days after order confirmation and receipt of the required payment.

Bulk, customized, private-label, or made-to-order requirements may require additional processing time. The applicable TAT will be communicated separately before order confirmation.

8. Delivery

Delivery timelines depend on the destination, shipment size, weight, transporter, route, weather, and other operational factors.

The Company shall make reasonable efforts to dispatch orders within the applicable processing TAT but shall not be responsible for delays caused by circumstances beyond its reasonable control.

9. Inspection & Claims

The Buyer should inspect the shipment upon delivery wherever reasonably possible.

Any shortage, wrong product, transit damage, or visible manufacturing issue must be reported within 48 hours of delivery.

Claims must be supported by photographs/videos, order or invoice details, and any other information reasonably requested by the Company.

10. Returns & Replacements

B2B orders are generally non-returnable for change of mind, incorrect ordering, excess inventory, or unsold products.

Returns or replacements may be considered for:

Wrong product supplied by the Company
Manufacturing defects
Transit damage
Short shipment
Material discrepancy from the confirmed order

All returns are subject to prior approval and verification by the Company.

11. Cancellation

Orders may generally be cancelled only before processing for dispatch.

Customized, private-label, made-to-order, or specially procured products may not be cancellable once production or procurement has commenced.

12. Intellectual Property

All trademarks, logos, product images, website content, designs, graphics, text, and other intellectual property belonging to R G Biocosmetic Private Limited remain the property of the Company or its licensors.

No intellectual property rights are transferred to the Buyer through the purchase of products.

13. Buyer Responsibilities

The Buyer is responsible for:

Providing accurate order and delivery information
Making payments within the agreed timelines
Properly storing and handling products after delivery
Complying with applicable laws relating to resale and distribution
Not making false, misleading, or unauthorized claims about the Company's products

14. Force Majeure

The Company shall not be liable for delays or failure to perform its obligations due to circumstances beyond its reasonable control, including natural disasters, fire, flood, epidemics, government restrictions, strikes, transportation disruptions, supply-chain interruptions, or other unforeseen events.

15. Limitation of Liability

To the extent permitted by applicable law, the Company's liability shall be limited to the value of the affected products in the relevant order.

The Company shall not be liable for indirect, incidental, consequential, or business losses, including loss of profits or resale opportunities, except where such limitation is prohibited by applicable law.

16. Governing Law & Jurisdiction

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of India.

Any dispute arising out of or relating to these Terms & Conditions, an order, or the business relationship between the Company and the Buyer shall be subject to the jurisdiction of the competent courts in New Delhi, India.

The parties may first attempt to resolve disputes amicably through mutual discussion.
